Clause 1: Purpose
The general terms and conditions of sale and use set forth below detail the rights and obligations of GALEART SAS and its customer in connection with the sale of the following goods: tools and works of art.
Any service provided by GALEART SAS therefore implies the buyer's unreserved acceptance of these general terms and conditions of sale.
Clause 2: Prices
The prices of goods sold are those in effect on the day the order is placed. They are expressed in euros and calculated excluding taxes. Consequently, they will be increased by the applicable VAT rate and shipping costs on the date of the order.
The company GALEART SAS reserves the right to modify its prices at any time. However, it undertakes to invoice the goods ordered at the prices indicated when the order was registered.
Clause 3: Discounts and Rebates
The prices offered include any discounts and rebates that the company ... (company name) may grant in light of its performance or the buyer's assumption of certain services.
Clause 4: Early Payment Discount
No discount will be granted for early payment.
Clause 5: Terms of Payment
Payment for orders is made:
either by check;
or by credit/debit card via the payment link provided at the time the order is placed;
or by bank transfer
where applicable, indicate the other accepted payment methods.
Upon registration of the order, the buyer must pay the full total invoice amount.
Clause 6: Late Payment
In the event of total or partial non-payment for goods delivered by the day of receipt, the buyer must pay the company ... (company name) a late payment penalty equal to three times the legal interest rate.
The legal interest rate applied is that in effect on the date of delivery of the goods.
As of January 1, 2015, the legal interest rate is revised every 6 months (Order No. 2014-947 of August 20, 2014).
This penalty is calculated on the tax-inclusive amount of the remaining sum due, and runs from the due date without any prior formal notice being required.
In addition to late payment penalties, any sum, including deposits, not paid on its due date will automatically incur a fixed indemnity of 40 euros due for recovery costs.
Articles L. 441-6, I paragraph 12 and D. 441-5 of the French Commercial Code.
Clause 7: Termination Clause
If within fifteen days following the implementation of the "Late Payment" clause, the buyer has not settled the remaining sums due, the sale shall be automatically terminated and may give rise to a claim for damages in favor of the company ... (company name).
Clause 8: Retention of Title Clause
The company ... (company name) retains ownership of the goods sold until full payment of the price, both principal and accessories. As such, if the buyer is subject to judicial reorganization or liquidation proceedings, the company ... (company name) reserves the right to claim the goods sold and remaining unpaid within the collective proceedings.
Clause 9: Delivery
Delivery is made:
either by direct handover of the goods to the buyer;
or by sending a notice of availability in store to the buyer;
or to the place indicated by the buyer on the order form.
The delivery timeframe indicated when registering the order is given for information purposes only and is in no way guaranteed.
Consequently, any reasonable delay in the delivery of products cannot give rise, to the benefit of the buyer, to:
the award of damages;
the cancellation of the order.
The transport risk is borne entirely by the buyer.
In the event of missing or damaged goods during transit, the buyer must make all necessary reservations on the delivery slip upon receipt of said goods. These reservations must also be confirmed in writing within five days of delivery, by registered letter with acknowledgment of receipt.
Clause 10: Force Majeure
The liability of GALEART SAS cannot be invoked if the non-performance or delay in the performance of any of its obligations described in these general terms and conditions of sale arises from a case of force majeure. In this regard, force majeure means any external, unforeseeable, and irresistible event within the meaning of Article 1148 of the French Civil Code.
Clause 11: Competent Jurisdiction
Any dispute relating to the interpretation and execution of these general terms and conditions of sale is subject to French law.
In the absence of an amicable settlement, the dispute will be brought before the Commercial Court of AUCH
